Abstract

Technological advancements have profoundly transformed international trade and logistics, prompting a systemic transition from traditional paper-based processes to electronic systems. One notable innovation is the Electronic Bill of Lading (eB/L), which plays a pivotal role in reducing operational costs, enhancing efficiency, and mitigating risks associated with document forgery and physical loss. Nevertheless, the adoption of eB/Ls in maritime transport continues to face significant legal challenges, particularly in Thailand, where the absence of explicit statutory recognition of the legal status of electronic bills of lading generates considerable uncertainty. This includes ambiguity concerning the rights of eB/L holders, the legal transfer of title, enforceability, official acceptance by relevant authorities, the admissibility of eB/Ls as legal evidence, and issues related to the reliability and standardization of the underlying electronic systems.
This article aims to conduct an initial analysis of the legal issues arising from the use of eB/L in maritime carriage, particularly in their capacity as (i) evidence of the transport/carriage contract, (ii) receipt of goods, and (iii) document of title. The analysis is conducted within the framework of Thai domestic law—namely, the Civil and Commercial Code, the Carriage of Goods by Sea Act B.E. 2534 (1991), and the Electronic Transactions Act B.E. 2544 (2001)—and is complemented by a study of relevantinternational instruments such as the Hague-Visby Rules, the Hamburg Rules, the Rotterdam Rules, and the UNCITRAL Model Laws. Furthermore, the paper
explores relevant international commercial practices concerning eB/Ls in the private sector.
The study concludes with preliminary recommendations that the Thai legal system shouldeither enact a specific statute or amend existing legislation to expressly recognize the legalvalidity and enforceability of electronic bills of lading. Such reforms are essential to ensure legal clarity, operational reliability, and practical enforceability of eB/Ls within the evolving landscape of global maritime commerce. In this context, the amendment to the Electronic Transactions ActB.E. 2544 (2001) also refers to the Draft Electronic Transactions Bill B.E. [....], which has been reviewed and considered by Office of the Council of State.
