Legal Problems of Promise to Enter into a Contract : A case Study of Promise to Lease

Abstract
A promise to enter into a contract is a declaration of intent to make a juristic act according to the Thailand Civil and Commercial Code (TCCC). A provision is apparent for the promise to enter into a contract for certain specific contracts, but no provisions exist as general rules for a promise to enter into a contract. As a result, legal applications and interpretations of this subject are based on diverse individual concepts and opinions of lawyers and depend solely on court decisions. Consequently, in Thai law the promise to enter into a contract theoretically resembles other types of intent to make an offer in terms of appearance, legal status, and legal effect. In addition, courts have adopted interpretive law to expand the scope of promise to enter into a contract to cohere to specific contracts other than those mentioned in the TCCC on the basis of the private autonomy principle. Problems remains in terms of the obvious promise to lease and in implementing such laws due to ambiguities in legal applications. For example, in some cases, a person uses words to express intentions but the court may have a different discretion thus creating uncertainties in the applications of the law. Further study of the theory of the promise to enter into a contract should lead to understanding legal intentions and adopting fair legal practices. These topics are studied based on a comparative analysis of Thai law and foreign laws, documents, law books, published papers, research, and opinions of lawyers for analysis to find conclusions and suggestions to resolve all these problems.
