บทคัดย่อ

บทความวิจัยนี้มีวัตถุประสงค์เพื่อ 1) ศึกษาการกำกับดูแลกิจการที่ดีของบริษัทฯ 2) ศึกษาผลการดำเนินงานของบริษัทฯ และ 3) ศึกษาความสัมพันธ์ระหว่างการกำกับดูแลกิจการที่ดี กับผลการดำเนินงานของบริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยในกลุ่ม SET 50 โดยเป็นการวิจัยเชิงปริมาณ ประชากรและกลุ่มตัวอย่าง ได้แก่ บริษัทจดทะเบียนในตลาดหลักทรัพย์แห่งประเทศไทยในกลุ่ม SET 50 ในช่วงปี
พ.ศ. 2562-2564 โดยตัวแปรการกำกับดูแลกิจการที่ดีที่ต้องการศึกษา ได้แก่ สัดส่วนการถือครองหุ้นของคณะกรรมการบริหาร สัดส่วนของกรรมการอิสระ การควบรวมตำแหน่งของประธานกรรมการและประธานบริหาร ขนาดของคณะกรรมการบริหารและจำนวนครั้งการประชุมของคณะกรรมการบริษัท ส่วนการดำเนินงานของบริษัท ได้แก่ อัตราผลตอบแทนจากสินทรัพย์รวม (ROA) ผลตอบแทนส่วนของผู้ถือหุ้น (ROE) และ Tobin’s Q Ratio วิเคราะห์โดยใช้สถิติพรรณนา และเพื่อพยากรณ์ถึงการกำกับดูแลกิจการที่ดีมีอิทธิผลต่อผลการดำเนินงานของบริษัทฯ โดยใช้สถิติการวิเคราะห์การถดถอยพหุคูณ (Multiple Regression Analysis) ณ ระดับนัยสำคัญทางสถิติที่ 0.05 ผลการวิจัยพบว่า ขนาดของคณะกรรมการบริหาร และจำนวนครั้งการประชุมของคณะกรรมการบริษัท มีผลต่อผลการดำเนินงานของบริษัทฯ ในด้านอัตราผลตอบแทนส่วนของผู้ถือหุ้น(ROE) ซึ่งสามารถเขียนเป็นสมการได้ดังต่อไปนี้ การดำเนินงานของบริษัทจดทะเบียนในด้าน  = 16.143 – 1.275 ขนาดของกรรมการบริหาร +0.525 ผลตอบแทนส่วนของผู้ถือหุ้น (ROE) จำนวนครั้งการประชุมของคณะกรรมการบริษัท
