การเตือนตามประมวลกฎหมายแพ่งและพาณิชย์ มาตรา 204 วรรคหนึ่ง: เจ้าหนี้ต้องให้เวลาพอสมควรแก่ลูกหนี้ ในการชำระหนี้หรือไม่?

บทคัดย่อ
ประมวลกฎหมายแพ่งและพาณิชย์ มาตรา 204 บัญญัติว่า “ถ้าหนี้ถึงกำหนดชำระแล้ว และภายหลังแต่นั้นเจ้าหนี้ได้ให้คำเตือนลูกหนี้แล้ว ลูกหนี้ยังไม่ชำระหนี้ไซร้ ลูกหนี้ได้ชื่อว่าผิดนัดเพราะเขาเตือนแล้ว” มาตรา 204 วรรคหนึ่งมิได้บัญญัติให้การเตือนของเจ้าหนี้ต้องให้เวลาพอสมควรแก่ลูกหนี้ในการชำระหนี้ แต่มีนักกฎหมายบางส่วนเห็นว่าหากไม่ให้เวลาพอสมควรแก่ลูกหนี้ในการชำระหนี้จะขัดต่อเหตุผลธรรมดาและทำให้เกิดความไม่เป็นธรรม จึงต้องตีความว่าการเตือนตามมาตรา 204 วรรคหนึ่ง เจ้าหนี้ต้องให้เวลาพอสมควรแก่ลูกหนี้ มิฉะนั้นก็ยังไม่มีผลทำให้ลูกหนี้ตกเป็นผู้ผิดนัด บทความนี้นำเสนอความเห็นว่าการตีความ ดังกล่าวมีข้อโต้แย้งได้โดยมีเหตุผลหลายประการ ที่สำคัญ คือ หากการเตือนตามมาตรา 204 วรรคหนึ่ง เจ้าหนี้จำต้องให้เวลาพอสมควรแก่ลูกหนี้ในการชำระหนี้เสียแล้ว ย่อมส่งผลทำให้มาตรา 204 วรรคหนึ่งไม่มีที่ใช้ การผิดนัดในทุกกรณีจะเป็นไปตามมาตรา 204 วรรคสองทั้งสิ้น ซึ่งไม่ต้องด้วยเจตนารมณ์ของมาตรา 204 ที่กำหนดให้การผิดนัดมีสองกรณีตามบทบัญญัติทั้งสองวรรคของมาตรานี้
