บทคัดย่อ
แม้ประเทศไทยมีพระราชกำหนดการประกอบธุรกิจสินทรัพย์ดิจิทัล พ.ศ. 2561 ที่กำกับดูแลการออกและซื้อขายสินทรัพย์ดิจิทัล แต่ในกรณีโทเคนดิจิทัลประเภทที่ไม่สามารถทดแทนกันได้ (Non-Fungible Token ซึ่งต่อไปนี้จะเรียกว่า NFTs) ยังขาดความชัดเจน เนื่องจาก NFTs มีลักษณะเฉพาะที่หลากหลายและไม่อาจเข้ากับนิยามที่บัญญัติไว้ในกฎหมายโดยตรง จึงต้องอาศัยการตีความที่ซับซ้อนและรอประกาศของ ก.ล.ต. เป็นรายกรณีเพื่อปรับเข้ากับกฎหมายดังกล่าว โดยเฉพาะในกรณีที่ NFTs มีลักษณะคล้ายกับ “หลักทรัพย์” และใช้เป็นช่องทางระดมทุน ซึ่งอาจก่อให้เกิดช่องว่างทางกฎหมาย ความเสี่ยงต่อผู้ลงทุน และกระทบต่อเสถียรภาพของระบบเศรษฐกิจของประเทศ ซึ่งในประเด็นดังกล่าว สหรัฐอเมริกาสามารถปรับใช้กฎหมายหลักทรัพย์หรือ Securities Act of 1933 โดยวิเคราะห์ว่า NFTs อาจเข้าข่ายเป็น “หลักทรัพย์” ประเภท “สัญญาการลงทุน” โดยอาศัยหลักเกณฑ์จากคดี SEC v. W.J. Howey Co. เป็นกรอบในการวิเคราะห์ ผู้เขียนจึงเสนอให้มีการประเมินกรอบนิยามและเกณฑ์การกำกับดูแลที่เหมาะสมสำหรับ NFTs ในประเทศไทย โดยใช้หลักเกณฑ์การพิเคราะห์ที่ศาลสร้างขึ้นในคดี Howey (Howey Test ซึ่งต่อไปนี้จะเรียกว่า หลักเกณฑ์การพิเคราะห์ในคดี Howey) ตามแนว SEC ของสหรัฐอเมริกา เพื่อสร้างความชัดเจนทางกฎหมายและส่งเสริมความมั่นคงของตลาดสินทรัพย์ดิจิทัลในประเทศไทย
